KALCO LIVING LLC Lease Agreement & Terms and Conditions

Kalco Living LLC ("Kalco Living LLC") is pleased to have you as a customer. Your acceptance and use of the appliance(s) described on your rental application ("Equipment") constitutes your agreement to the following Lease Agreement and Terms and Conditions, including without limitation payment of rent at the monthly rate corresponding to your selected package (the "Monthly Rate"). 1. Rent Payments
You agree to pay the Monthly Rate corresponding to your selected package, inclusive of all applicable fees. Your first monthly payment is due prior to delivery. Monthly payments are collected automatically via debit or prepaid debit card on file. Your card will be charged on the same calendar date each month following delivery. A 25$ late fee applies if payment cannot be processed. It is crucial for the Customer to understand and fulfill this monthly payment obligation to avoid late fees or breach of contract.
THIS IS A LEASE — NOT A PURCHASE. Ownership of the Equipment remains with Kalco Living LLC at all times. You will not acquire ownership of the Equipment regardless of the length of the rental period. The Customer explicitly acknowledges that they will never own the equipment and cannot keep, permanently modify, or sell the equipment without the express written permission of Kalco Living LLC.
THE EQUIPMENT IS OWNED BY KALCO LIVING LLC AND MUST BE RETURNED WHEN YOU CANCEL THE LEASE OR UPON DEFAULT. YOU AGREE NOT TO REMOVE OR DEFACE ANY STICKER OR LABEL ON THE EQUIPMENT INDICATING THAT KALCO LIVING LLC OWNS THE EQUIPMENT.
2. Rental Term
The lease term begins on the date the Equipment is delivered to your home. Kalco Living LLC requires payment of rent for a minimum period of 6 months, after which the lease continues on a month-to-month basis until terminated by either party. You may terminate the lease with seven (7) days written notice to Kalco Living LLC. The final month's rent will not be prorated. Rent must be paid in full until Equipment is retrieved by Kalco Living LLC.
2.1. Service Offerings and Pricing
Kalco Living LLC offers a variety of appliance leasing packages to meet your needs. The Monthly Rate for your lease will depend on the specific package you select, as outlined below:

3.Fees and Charges
The Monthly Rate, as specified in your selected package, is all inclusive. There are no hidden fees. The following additional fees may apply under specific circumstances:

All fees are subject to applicable Tennessee state law limitations and may be modified upon reasonable written notice to you. Kalco Living LLC reserves the right to modify fees in compliance with Tennessee law, and will provide timely notice of any such adjustments.
4. Use and Return of Equipment
Equipment is for personal residential use at the approved delivery address only. The Customer is restricted to using the equipment for personal, residential purposes at the approved address. You must not move, sell, transfer, pledge or otherwise dispose of the Equipment without prior written consent from Kalco Living LLC. If you relocate, Kalco Living LLC must handle the relocation of the Equipment subject to the applicable Move Fee. Monthly rent continues until Kalco Living LLC retrieves the Equipment. If the Equipment is lost or stolen you are liable for the full replacement cost of the Equipment and all associated collection costs incurred by Kalco Living LLC. Kalco Living LLC retains control over equipment location and must handle relocations, subject to a fee, preventing unauthorized use or movement by the Customer.
5. Limited Warranty and Remedy for Defects
Upon delivery inspect the Equipment and report any damage or defects to Kalco Living LLC within three (3) business days. For mechanical defects arising from normal use Kalco Living LLC will repair or replace the Equipment at no cost to you. Unauthorized repairs are strictly prohibited. You agree that you will not attempt to repair the Equipment yourself or allow anyone other than Kalco Living LLC or its authorized contractors to repair the Equipment. You will be solely responsible for any damage resulting from unauthorized repair work performed by you or any third party.
6. Equipment Damage or Malfunction Due to Misuse
You agree to use the Equipment only in accordance with manufacturer instructions as indicated on or inside the Equipment. You agree to be solely responsible and liable to Kalco Living LLC for any damage to the Equipment and the cost of any repairs caused by gross negligence, intentional misuse or abuse of the Equipment whether caused by you or any other person. The Customer is responsible for damages to the equipment and any repair costs, which may result in unexpected expenses. The Customer should take extra care to prevent damage to the equipment.
7. Indemnification
YOU AGREE TO RELEASE, INDEMNIFY AND HOLD Kalco Living LLC AND ITS AGENTS HARMLESS FROM ANY LIABILITY OR DAMAGES ARISING FROM NEGLIGENCE, MISUSE OR ABUSE OF THE EQUIPMENT DURING THE TIME THE EQUIPMENT IS IN YOUR POSSESSION WHETHER CAUSED BY YOU, ANY CO-RENTER, FAMILY MEMBER, GUEST OR INVITEE. The Customer is responsible for covering Kalco Living LLC's losses due to negligence, misuse, or abuse of the equipment, which could lead to significant financial burdens.
8. Access Authorization
YOU AGREE TO ALLOW KALCO LIVING LLC OR ITS AUTHORIZED AGENTS OR INDEPENDENT CONTRACTORS ACCESS TO THE EQUIPMENT AT YOUR RESIDENCE FOR THE PURPOSE OF MAKING DELIVERY, REPAIR, MAINTENANCE, REPLACEMENT OR REMOVAL OF THE EQUIPMENT INCLUDING IN THE EVENT OF DELINQUENT PAYMENTS. IN THE EVENT OF YOUR DEFAULT AND IF YOU FAIL TO CURE YOUR DEFAULT AFTER TEN () DAYS WRITTEN NOTICE FROM KALCO LIVING LLC YOU HEREBY AUTHORIZE KALCO LIVING LLC OR ITS AUTHORIZED AGENTS OR INDEPENDENT CONTRACTORS TO ACCESS YOUR RESIDENCE WITHOUT BREACH OF THE PEACE TO RETRIEVE THE EQUIPMENT. KALCO LIVING LLC AGREES TO CONDUCT ANY SUCH ENTRY IN FULL COMPLIANCE WITH APPLICABLE TENNESSEE LAW. The Customer permits Kalco Living LLC access to their residence, even potentially without their direct consent under certain circumstances, in full compliance with Tennessee law.
9. Default
You will be in default under this Lease Agreement if any of the following occur:
• You fail to pay the full Monthly Rate or any applicable fees when due
• You breach any term of this Lease Agreement or these Terms and Conditions
• You move, sell, transfer or otherwise dispose of the Equipment without Kalco Living LLC's written consent
• Kalco Living LLC in good faith believes the prospect of payment or performance is materially impaired
10.Remedies
If an event of default occurs Kalco Living LLC may exercise one or more of the following remedies:
• Cancel your lease agreement
• Take possession of the Equipment in accordance with applicable Tennessee law
• Recover all unpaid Monthly Rate payments and applicable fees owed through the date the Equipment is retrieved
• Recover the fair market value of the Equipment if it has been lost stolen or cannot be retrieved
• Recover all reasonable collection costs including fees paid to third party collectors and or attorneys to the extent allowed by applicable Tennessee law
• Report delinquent accounts to credit bureaus
• Pursue any other rights or remedies available under applicable Tennessee law
You agree to pay all of Kalco Living LLC's reasonable costs of enforcing these Terms and Conditions including reasonable attorney fees and expenses as allowed by applicable Tennessee law
11. Arbitration
Any dispute arising out of or relating to this Lease Agreement or Terms and Conditions will be subject to binding arbitration in accordance with the Federal Arbitration Act and the Consumer Due Process Protocol of the American Arbitration Association. Either party may initiate arbitration at any time. Arbitration precludes the right to trial by jury or court.
ARBITRATION OF ANY DISPUTE SHALL BE MANDATORY FOR BOTH PARTIES UPON THE ELECTION BY EITHER PARTY TO ARBITRATE REGARDLESS OF WHEN SUCH ELECTION IS MADE. IF ARBITRATION IS SELECTED BY EITHER PARTY YOU AND KALCO LIVING LLC AGREE THAT SUCH ELECTION WILL PRECLUDE EITHER PARTY FROM HAVING THE DISPUTE HEARD OR DECIDED BEFORE A JURY OR COURT OF LAW. 12. Termination
Kalco Living LLC reserves the right to refuse service or terminate delivery installation or maintenance at its sole discretion provided such action is in full compliance with all applicable Tennessee laws and regulations including but not limited to applicable consumer protection statutes. Kalco Living LLC has the power to refuse service or terminate installation/maintenance with consumer protection laws in mind.
13. Governing Law
This Lease Agreement and Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Tennessee. Any arbitration or legal proceedings shall take place in Shelby County Tennessee. The agreement is governed by Tennessee law, and any legal disputes must be resolved in Shelby County, Tennessee.
