KALCO LIVING LLC Lease Agreement & Terms and Conditions

Kalco Living LLC ("Kalco Living LLC") is pleased to have you as a customer. Your acceptance and use of the appliance(s) described on your rental application ("Equipment") constitutes your agreement to the following Lease Agreement and Terms and Conditions. 1. Rent Payments
You agree to pay the Monthly Rate corresponding to your selected package. Your first monthly payment is due prior to delivery. Monthly payments are collected automatically via debit or prepaid debit card on file. Your card will be charged on the same calendar date each month following delivery. A $25 late fee applies if payment cannot be processed.
THIS IS A LEASE — NOT A PURCHASE. Ownership of the Equipment remains with Kalco Living LLC at all times. You will not acquire ownership of the Equipment regardless of the length of the rental period.
THE EQUIPMENT IS OWNED BY KALCO LIVING LLC AND MUST BE RETURNED WHEN YOU CANCEL THE LEASE OR UPON DEFAULT. YOU AGREE NOT TO REMOVE OR DEFACE ANY STICKER OR LABEL ON THE EQUIPMENT.
2. Rental Term
The lease term begins on the date the Equipment is delivered. Kalco Living LLC requires payment for a minimum period of 6 months, after which the lease continues month-to-month until terminated by either party with seven (7) days written notice. The final month's rent will not be prorated.

3.Fees and Charges

4. Use and Return of Equipment
Equipment is for personal residential use at the approved delivery address only. You must not move, sell, transfer, or dispose of the Equipment without prior written consent. Monthly rent continues until Kalco Living LLC retrieves the Equipment. If Equipment is lost or stolen you are liable for the full replacement cost.
5. Equipment Condition & Limited Warranty
All Equipment provided by Kalco Living LLC may be gently used and has been professionally cleaned, inspected, and confirmed to be in proper working condition prior to delivery. Upon delivery inspect the Equipment and report any damage or defects within three (3) business days. For mechanical defects arising from normal use Kalco Living LLC will repair or replace the Equipment at no cost. Unauthorized repairs are strictly prohibited.
6. Equipment Damage or Malfunction Due to Misuse or Abuse
You agree to use the Equipment only in accordance with manufacturer instructions. You are solely responsible for any damage caused by gross negligence, intentional misuse, abuse, or vandalism. Abuse or intentional damage is not covered under the Kalco Living LLC maintenance policy. Normal wear and mechanical repairs from standard residential use are always covered at no cost.
7. Indemnification
YOU AGREE TO RELEASE, INDEMNIFY AND HOLD KALCO LIVING LLC AND ITS AGENTS HARMLESS FROM ANY LIABILITY OR DAMAGES ARISING FROM NEGLIGENCE, MISUSE OR ABUSE OF THE EQUIPMENT DURING THE TIME THE EQUIPMENT IS IN YOUR POSSESSION.
8. Access Authorization
YOU AGREE TO ALLOW KALCO LIVING LLC OR ITS AUTHORIZED AGENTS ACCESS TO THE EQUIPMENT AT YOUR RESIDENCE FOR DELIVERY, REPAIR, MAINTENANCE, REPLACEMENT OR REMOVAL INCLUDING IN THE EVENT OF DELINQUENT PAYMENTS. IN THE EVENT OF DEFAULT AND FAILURE TO CURE AFTER TEN (10) DAYS WRITTEN NOTICE YOU AUTHORIZE KALCO LIVING LLC TO ACCESS YOUR RESIDENCE WITHOUT BREACH OF THE PEACE TO RETRIEVE THE EQUIPMENT IN FULL COMPLIANCE WITH TENNESSEE LAW.
9. Default
You will be in default if: you fail to pay the Monthly Rate or fees when due; you breach any term of this agreement; you move or dispose of Equipment without written consent; or Kalco Living LLC believes the prospect of payment is materially impaired.
10.Remedies
Upon default Kalco Living LLC may cancel the lease, take possession of Equipment, recover unpaid payments and fees, recover fair market value of lost or stolen Equipment, report delinquent accounts to credit bureaus, and pursue all rights available under Tennessee law.
11. Arbitration
Any dispute arising out of this agreement will be subject to binding arbitration under the Federal Arbitration Act. For more information visit www.adr.org.
12. Termination
Kalco Living LLC reserves the right to refuse service or terminate delivery, installation, or maintenance at its sole discretion in full compliance with applicable Tennessee law.
13. Governing Law
This agreement is governed by the laws of the State of Tennessee. Any proceedings shall take place in Shelby County, Tennessee.
